1. About CellSync

CellSync Limited ("CellSync", "we", "us", "our") is a company registered in England and Wales at 128 City Road, London, EC1V 2NX. Company Registration Number: 17091767. UK VAT Registration Number: GB 516094693.

These Terms of Service govern your use of the CellSync mobile application ("the App"), our AI-powered skin analysis service (CELA), our red light therapy protocols, and any products or services purchased through us. By creating an account or using the App, you agree to these Terms in full.

How we collect and use your personal data is explained in our Privacy Policy, which forms part of these Terms.

If you do not agree to these Terms, please do not create an account, use the App, or purchase our products.

2. Eligibility

You must be at least 18 years old to create a CellSync account and use our services. By using the App, you confirm that you are 18 or older and that all information you provide is accurate, current, and complete.

CellSync is intended for personal, non-commercial use unless you have entered into a separate B2B licence agreement with us.

3. Your CellSync Account

3.1 Account responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@cellsync.co.uk if you suspect any unauthorised access.

3.2 Account integrity

You may not share your account with any other person, create multiple accounts for the same individual, use another person's account without their permission, or provide false or misleading registration information.

3.3 Account verification

We require email verification before you can access the App's features. You must verify your email address within 48 hours of registration. Unverified accounts may be automatically removed.

3.4 Account suspension and termination

We reserve the right to suspend or permanently terminate your account if you breach these Terms, engage in fraudulent activity, or use the App in a manner that may cause harm. Where reasonably practicable, we will notify you before doing so.

3.5 Deleting your account

You can delete your account at any time from inside the App or at cellsync.co.uk/pages/delete-account. Your data is then deleted as described in our Privacy Policy.

4. The AI Skin Analysis Service (CELA)

4.1 What CELA does

CELA (CellSync Expert Skin Intelligence Agent) is our AI-powered skincare concierge. The CELA Scan uses a guided camera to take three photographs of your face — front, left and right — which are analysed by our specialist skin-analysis provider to measure visible characteristics of your skin. If your phone does not support the guided camera, a single front photograph is taken instead. CELA uses the results to generate personalised skincare protocol recommendations, product suggestions, and red light therapy guidance.

You may only scan your own face.

4.2 Not medical advice

The CellSync skin analysis service is a cosmetic wellness tool only. It is not a regulated medical device and does not constitute medical advice, medical diagnosis, or medical treatment.

CELA cannot diagnose skin conditions including eczema, psoriasis, rosacea, or acne vulgaris. It cannot replace the assessment of a qualified dermatologist, detect skin cancer or melanoma, or account for underlying health conditions or medications.

If you have concerns about your skin health, consult a qualified medical professional.

4.3 Image processing and derived data

Your scan photographs are sent securely, with a random account identifier and never your name or email address, to our specialist skin-analysis provider, which processes them on our behalf solely to produce your reading. They are deleted as soon as your reading is complete, and within 24 hours at the latest. We do not keep copies of your photographs.

The following data derived from your scan is stored in your profile: your overall Sync score; ten individual metric scores (hydration, evenness, lines, pigmentation, pores, redness, blemishes, firmness, dark circles and puffiness); perceived skin age and eye-area age estimates; skin type and skin tone classification; skin concerns, strengths and focus areas identified by CELA; image capture quality checks (pass/fail results, not images); personalised protocols; and your recommended rescan interval. Because your scan results describe your skin, we ask for your explicit consent before your first scan. You can withdraw that consent at any time in the Profile section of the App.

4.4 Age analysis

CELA generates estimates of perceived skin age and eye-area age based on visible skin characteristics. These are cosmetic assessments only — not medical determinations. They are stored in your profile to track changes over time.

4.5 Accuracy and limitations

Skin analysis is based on visible skin characteristics in the photographs taken. The guided camera checks lighting, angle and framing before each photograph to make your scans as consistent as possible, but results may still be affected by lighting, camera quality, make-up, skincare products on the skin, and other factors. Results vary between individuals, and we make no warranty that recommendations will be suitable for your specific skin needs.

4.6 Ingredient Scanner

The CellSync Ingredient Scanner allows you to check any skincare product for compatibility with your skin profile. It is a cosmetic compatibility tool only and does not constitute safety advice or medical guidance.

4.7 CELA improvement

With your consent, anonymised and aggregated scan data may be used to improve CELA's accuracy over time.

5. Red Light Therapy

5.1 General use

CellSync's red light therapy protocols are designed for cosmetic wellness purposes only. They are not medical treatments.

5.2 Safety

Do not use red light therapy devices if you are pregnant or breastfeeding, have photosensitivity disorders or lupus, are taking photosensitising medications, have active or historical skin cancer in the treatment area, or have epilepsy or sensitivity to flickering light. Consult your GP if in doubt.

6. Products and Purchases

6.1 Pricing

All prices are in pounds sterling (GBP) inclusive of UK VAT where applicable.

6.2 Returns and refunds

You have the right to cancel your order within 14 days of receipt under the UK Consumer Contracts Regulations 2013. Opened or used skincare products cannot be returned for hygiene reasons unless faulty.

6.3 Faulty products

If a product is faulty, damaged, or not as described, you are entitled to a repair, replacement, or full refund under the Consumer Rights Act 2015. Contact us at support@cellsync.co.uk within 30 days of receipt.

7. Intellectual Property

7.1 CellSync IP

All intellectual property in the App including the CellSync brand, CELA technology, software, algorithms, and content is owned by or licenced to CellSync Limited. Nothing in these Terms grants you any rights in our intellectual property.

CellSync and CELA are registered trade marks of CellSync Limited in the United Kingdom. Nothing in these Terms grants you any licence to use them.

7.2 Data ownership

CellSync Limited retains ownership of all anonymised, aggregated, and de-identified scan data generated through the App. This provision survives termination of your account.

7.3 Restrictions

You must not copy, reproduce, or distribute any part of the App without our written permission, reverse engineer or decompile the App, or use our brand or the CELA name without our prior written consent.

8. Limitation of Liability

8.1 What we do not exclude

Nothing limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under applicable law.

8.2 Limitation

Our total aggregate liability to you shall not exceed the greater of (a) the total amount paid by you to CellSync in the 12 months preceding the claim, or (b) £100.

9. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to These Terms

We will notify you of material changes via email or in-app notification at least 14 days before they take effect.

Version 1.2 (9 October 2026) updates section 4 to describe the new guided three-angle CELA Scan and its specialist analysis provider, in line with Privacy Policy version 1.7, and adds section 3.5. It applies to new accounts from 9 October 2026 and to existing accounts from 22 October 2026.
